1. INTRODUCTION

1.1 The website and related services (hereinafter referred to as the "Site") are operated by SULIUD ER CORP, legally registered at: 127 N Higgins Ave Ste 307D #2244, Missoula, MT 59802, USA. US Federal Tax ID (EIN): 41-3365265. Contact email: info@vignette-co.com (hereinafter referred to as the "Company").

1.2 The Company provides clients with a service for organizing the payment of mandatory road tolls (electronic vignettes) for travel on toll highways in a number of European countries (hereinafter referred to as the "Service"). The Company acts solely as an independent commercial intermediary. Our goal is to provide the fastest, simplest, and most reliable order processing for the client. We act in good faith, based on our knowledge and experience, in the client's interest. The Company reserves the right to engage various partners and service providers to fulfill obligations to the client if necessary to ensure availability, processing speed, or in case of technical failures of the primary operator.

1.2.1 The intermediary service is defined by providing the client with explicit added value that simplifies the process and increases reliability compared to direct purchase from the state operator. This added value includes, but is not limited to:

  • Maximum availability: We ensure the ability to process a vignette even during periods when official operator websites may be unavailable or difficult for foreign clients to use.
  • Manual data verification: Our service is not fully automated. Each order undergoes manual verification by a specialist for accuracy and correctness of the entered data (registration number, vehicle type, validity period). This reduces the risk of error and subsequent fines.
  • Proactive support: If our specialists detect inconsistencies or suspect data inaccuracies, they will immediately contact the client for clarification. We may request additional documents (e.g., a photo of the license plate) to guarantee correct registration.
  • Convenience: Multilingual interface, 24/7 support, various payment methods, consolidation of information on rules of different countries.
  • Assistance in dispute resolution: Consultative support for the client in case of questions or unjustified fines from road authorities.

1.2.2 The Company undertakes to clearly and transparently inform the client about the structure of the final cost. The price always consists of two parts: 1) the official fee set by the state operator of the destination country, and 2) the Company's service fee for the aforementioned intermediary services and added value provided. The client confirms that they understand the intermediary nature of our activity. We are not a direct supplier of vignettes and do not control the operation of state operator systems. The specific partner-supplier through which registration will be carried out for a particular order may vary depending on availability, country, and type of service.

1.2.3 By placing an order, the Client explicitly confirms that they have read the price structure, the conditions of the Service, and these General Terms and Conditions. The Client acknowledges and agrees that they receive additional benefits (described in clause 1.2.1) and accepts the corresponding cost of the service fee. The Client confirms that information about prices and conditions was available to them on the Site prior to payment.

1.2.4 Change Flexibility ("Smart Change" Service): The Company provides a unique "Smart Change" service, allowing the Client to change all order parameters (vehicle registration number, validity period, destination country) free of charge no later than 12 hours before the vignette's start time. This is a beneficial difference from the rules of official operators, which typically do not allow changes after purchase, forcing the client to repurchase the vignette.

1.2.5 The Company has the right to unilaterally change technical partners and suppliers for order fulfillment, provided this does not worsen conditions for the Client.

1.2.6 The Company is not liable for damage or delays caused by actions or inactions of third parties (communication operators, payment systems, state vignette operators, hosting providers), as well as force majeure circumstances.

1.2.7 The Company expressly states that it is not engaged in the simple resale of vignettes. We provide a comprehensive service for organizing their purchase with clearly defined added value for the Client.

1.3 These General Terms and Conditions (hereinafter referred to as the "Terms") govern all relations between the Company and the Client arising in connection with the order and provision of the Service through the Site.

1.4 A Client is any individual or legal entity using the Site and/or placing an Order.

1.5 A Consumer is a Client - an individual acting solely for personal, non-commercial purposes.

1.6 The Company pays the road toll of the selected country through its partners on behalf of and by order of the Client.

1.7 The subject of this agreement is the provision of intermediary service services for organizing the acquisition of an electronic vignette. The Company is not an authorized agent, representative, or affiliate of any state road operator.

1.8 Any deviations from these Terms are valid only upon their written confirmation by an authorized representative of the Company.

1.9 By accepting the Order, the Client confirms their full and unconditional agreement with all provisions of these Terms.

1.10 The Company reserves the right to amend the Terms. The new version comes into force from the moment of its publication on the Site and does not apply to orders placed earlier.

1.11 By using the Site, the Client confirms that they have read the current version of the Terms and accept them.

2. CONCLUSION OF THE AGREEMENT AND ORDER PROCEDURE

2.1 To place an Order, the Client must correctly fill out the online form on the Site, specifying the vehicle type, country, validity period, and registration data.

2.2 Before payment, the Client is provided with the opportunity to review and correct all entered data.

2.3 The completed and submitted form by the Client constitutes an offer to conclude an agreement. The automatic confirmation of order acceptance for consideration, sent by email, is not an acceptance of the offer and does not mean completion of vignette registration.

2.4 After receiving payment, the Company manually verifies the correctness of the provided data and initiates the registration process. If the data raises doubts, the Company will contact the Client for clarification. Delays caused by the need for clarification or lack of response from the Client are not grounds for claims against the Company.

2.5 The agreement for the provision of the Service is considered concluded, and the vignette activated, from the moment the Client is sent an email confirming registration (voucher, transaction number). Only this email is proof of Service provision.

2.6 The Client agrees to the use of electronic means of communication for concluding and executing the agreement.

2.7 The Client bears full responsibility for the accuracy of the provided data. The Company is not liable for losses arising from errors made by the Client when entering data at any stage.

2.8 The Client is obliged to ensure the functionality of their email inbox and correct receipt of emails from the Company (including checking the "Spam" folder). The risk of non-delivery of electronic notifications for reasons dependent on the Client lies with the Client.

2.9 In case, for reasons beyond the Company's control (termination of the operator's activities, change in legislation), the provision of the Service for a specific Order becomes impossible, the Company undertakes to return the full payment amount to the Client.

3. SERVICE COST AND PAYMENT

3.1 The Service price, consisting of the official fee and the Company's service fee, is indicated on the Site at the time of placing the Order and includes all applicable taxes.

3.2 Payment can be made by bank card (via the secure Stripe payment gateway), via the PayPal system, or by other methods indicated on the Site.

3.3 The Client's obligation to pay is considered fulfilled at the moment of successful debiting of funds from their payment instrument and crediting of funds to the Company's account.

3.4 In case of an obvious technical error when indicating the price on the Site (e.g., a price clearly inconsistent with the market), the Company has the right to refuse to execute the Order at such a price, notifying the Client and returning the payment.

4. PROVISION OF SERVICE AND LIABILITY

4.1 The Service is considered provided at the moment the final confirmation of vignette registration is sent to the Client.

4.2 The Client undertakes to independently familiarize themselves with the rules for travel on toll roads in the destination country. The Service does not include payment for travel on special sections (tunnels, bridges), unless otherwise expressly indicated during ordering. A list of such sections is published on the official websites of road operators.

4.3 The Company guarantees conscientious provision of the Service subject to data correctness and timely payment by the Client.

5. REFUSAL OF SERVICE AND REFUND

5.1 For Consumers (individuals acting for personal purposes):

  • In accordance with distance selling rules, the Consumer has the right to a free refusal of the Service and a full refund if the refusal request is received by the Company no later than 12 (twelve) hours before the start of the validity period of the ordered vignette.
  • After the start of Order processing (manual verification, contact with the supplier), but before the moment of vignette activation, refusal is possible with a penalty deduction of 40% of the order amount to cover operational costs.
  • After activation of the vignette (sending the final confirmation), refusal and refund are impossible, as the Service has been provided in full, and the digital product is non-returnable. This provision is consistent with judicial practice (e.g., Decision of the Regional Court of Regensburg, Case No. 1 HK O 1116/22).

5.2 For business clients and legal entities, the right of refusal may be additionally limited.

5.3 Refunds are made to the same payment card or account from which the payment was made within 14 business days from the confirmation of the right to a refund.

6. DISPUTE RESOLUTION AND JURISDICTION

6.1 The Company strives to resolve all disputes pre-trial. All claims should be sent to the email address info@vignette-co.com.

6.2 If the Client is a Consumer from the European Union, they have the right to apply for out-of-court dispute settlement to the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.

6.3 These Terms and all relations between the Parties are governed by the laws of the state of Montana, USA. For Consumer Clients from the EU, this does not override the mandatory provisions of the law of their country of residence.

6.4 Any disputes not resolved pre-trial shall be considered in the courts at the place of registration of the Company (Missoula County, State of Montana, USA). For Consumers from the EU, the right to apply to the court at their place of residence remains.

7. FINAL PROVISIONS

7.1 The Company stores information about concluded agreements electronically for the period established by US law.

7.2 The invalidity of one of the provisions of the Terms does not entail the invalidity of the entire document. Such provision shall be replaced by a lawful one that is as close as possible in meaning.

7.3 The main channel of communication with the Company is email info@vignette-co.com. The Company undertakes to respond to requests within a reasonable time, typically within 5-30 minutes on business days.

8. DEFINITIONS

  • Client: An individual or legal entity using the Site and/or placing an Order.
  • Company (Service Provider): SULIUD ER CORP, EIN 41-3365265, address: 127 N Higgins Ave Ste 307D #2244, Missoula, MT 59802, USA.
  • Service: A set of intermediary service actions for organizing the acquisition of an electronic vignette for the Client, including data verification, interaction with partner-suppliers, and support provision.
  • Official Operator: The state or authorized body collecting road tolls in the respective country (e.g., ASFINAG in Austria).
  • Order: The offer of the Client accepted by the Company, containing all necessary data for the provision of the Service.
